We reserve the right, in our sole discretion, to change, modify, add, or remove portions of these Terms & Conditions at any time. You should check these Terms & Conditions periodically for changes. By using this Website or our services after we post any changes to these Terms & Conditions, you agree to accept those changes, whether or not you have reviewed them. If you do not agree to these Terms & Conditions, you must not use our Website, check the consent box, or submit payment, and, if applicable, you should cancel any active subscriptions with us.

1. Scope of Terms & Conditions and Entity Definition

These Terms & Conditions apply to your use of the website and the purchase of any coaching services, digital products, or programs provided by 23 Tasks and its Affiliates (collectively, "we," "us," or "our"). For the avoidance of doubt, "23 Tasks" is the legal entity delivering the service, which encompasses all associated materials marketed under names including, but not limited to, the "Logic and Limbic methodology," "Logic & Limbic," "Conquer Your Cravings," and any related modules, frameworks, or tiers (collectively referred to herein as the "Program"). For purposes of these Terms & Conditions, "Affiliates" shall mean any entity or person, directly or indirectly, owning a controlling interest in, owned by, or under common ownership control with 23 Tasks.

2. Terms & Conditions - In General

By using this Website or purchasing our services, you agree to be legally bound and to abide by these Terms & Conditions. If you do not comply with these Terms & Conditions at any time, we reserve the right to terminate your password, user account, and/or access to the Website and our programs. In our sole discretion and without prior notice or liability, we may discontinue, modify or alter any aspect of the Website, including but not limited to restricting the time the Website is available or the amount of use permitted. If you fail to abide by the provisions of these Terms & Conditions, or if we determine in our sole discretion that the coach-client relationship is no longer productive or professional boundaries are being repeatedly crossed, we may immediately deactivate or delete your user account and bar any further access to our information and files. In the event of a cancellation initiated by 23 Tasks for boundary violations, we reserve the right to issue a prorated refund based on the time spent in the program.

3. Nature of Service, Asynchronous Delivery, and Sales Calls

3.1 Asynchronous Delivery: You acknowledge and agree that the Program is an asynchronous coaching service. It is delivered entirely via our pre-recorded digital curriculum and asynchronous text and voice-note support via WhatsApp. There are no scheduled 1:1 coaching calls, Zoom meetings, or live video sessions.

3.2 WhatsApp Boundaries: WhatsApp support is strictly limited to text and voice-note messaging. Any incoming voice or video calls via WhatsApp will be ignored and are not part of the service. We aim to respond to messages within 24 to 48 hours during standard business days. Should the coach take scheduled holidays or require time off for unforeseen emergencies, you will be notified in advance where possible, and any missed days of support will be added to the end of your program duration.

3.3 Not Therapy: This Program provides task management, mindset frameworks, and educational accountability for weight loss. It is strictly educational and behavioral. It is not, and should not be construed as, psychotherapy, psychological counseling, psychiatric support, or medical treatment.

3.4 Pre-Enrollment Consultations: Any free or paid consultation calls are strictly for informational and evaluation purposes. Participating in a consultation does not establish a coach-client relationship, nor does it constitute medical or psychological advice. For quality assurance and training, consultation calls may be recorded. By attending the call, you consent to this recording.

4. Payment Terms, Installments, and Subscriptions

We offer different tiers of service, including fixed-term coaching programs (e.g., 3, 6, or 12-month high-ticket packages). Your specific enrollment details will be agreed upon at checkout. Unless otherwise explicitly stated, all prices are in the currency specified at checkout, and you are responsible for any applicable local taxes, VAT, or currency conversion fees charged by your bank.

4.1 Fixed-Term Coaching Programs: By enrolling in a fixed-term high-ticket program, you are legally committing to the full purchase price of that specific program. If you elect to pay via an installment plan or a third-party financing provider (such as Klarna, Stripe, or similar), you must complete all scheduled payments until the total balance is paid in full. An installment plan for a fixed-term program is a payment schedule for a single service; it is not a month-to-month subscription and cannot be cancelled mid-term.

4.2 Month-to-Month Continuity Subscriptions: If you enroll in a rolling month-to-month subscription, you agree to recurring payments at the applicable rate. You may cancel at any time prior to your next billing date. No prorated refunds will be provided for any unused portion of a billing month.

5. Refund Policy and Action-Based Guarantee

5.1 Digital Delivery and Waiver of Withdrawal Right: By checking the box at checkout and purchasing the Program, you expressly request and consent to the immediate performance of the digital services. You acknowledge and agree that delivery is deemed complete at the moment your access credentials and WhatsApp contact details are issued. By receiving this immediate access, you expressly acknowledge that you lose your statutory 14-day right of withdrawal under Irish and EU Consumer Law once access to the Program is granted.

5.2 General Refund Policy: All sales are final and non-refundable. Outside of the specific "Action-Based Guarantee" outlined below, no refunds or prorated credits will be provided for any fees or charges, including the initial purchase or any recurring payments.

5.3 The Action-Based Guarantee: We operate on a results-driven basis: "If you complete the work and do not lose weight, you do not pay." In this context, "you will not pay" means you will receive a refund of all payments made for the specific Program tier. To qualify for this refund, you must satisfy the following objective "Action Criteria":

100% Course Completion: You must provide proof (via your dashboard or manual submission) that you have fully completed both the Logic (23 Tasks) and Limbic (Conquer Your Cravings) modules.

Active Implementation: You must demonstrate active engagement with the WhatsApp support line, defined as responding to at least 80% of coach check-ins and providing evidence of task implementation.

Self-Reported Weight Loss: "Weight loss" is defined as any net reduction from your self-reported starting weight. We rely on your honest self-reporting.

5.4 Claim Window: Written refund requests must be submitted to info@23tasks.com within fourteen (14) days of your scheduled program completion date.

6. Payment Methods, Failed Payments, and Chargebacks

6.1 Payment Authorization: You must provide us with a valid credit card, debit card, or other approved Payment Method. You authorize us to immediately charge your Payment Method for all fees and installments due under these Terms & Conditions, including any applicable taxes, without additional notice.

6.2 Failed Payments & Reinstatement: If a scheduled payment fails, you will be granted a 7-day grace period. If the balance is not cleared within 7 days, access will be suspended. We reserve the right to charge an administrative reinstatement fee of up to €50, reflecting the actual administrative costs incurred in manually restoring your access.

6.3 Chargebacks: You agree not to issue a chargeback or dispute through your bank without first seeking a resolution via our refund policy. We reserve the right to pursue recovery of any associated costs, including bank fees and legal expenses, to the fullest extent permitted by law.

7. Age Requirements and Legal Capacity

This Website and the Program are not for use by individuals under eighteen (18) years of age. By purchasing the Program, you represent and warrant that you are at least 18 years of age and possess the legal authority and capacity to enter into a binding high-ticket contract.

8. Health, Medical, and Psychological Disclaimer

8.1 Educational and Behavioral Purposes Only: The information and frameworks provided—including the Logic and Limbic methodology—are offered solely for informational and educational purposes. They do not constitute professional medical, nutritional, psychiatric, or psychological advice, diagnosis, or treatment.

8.2 No Professional Relationship: Participation in the Program does not create a doctor-patient, therapist-client, or any other licensed clinical relationship between you and 23 Tasks. All Content is provided “as is” without any warranty regarding its suitability for your individual circumstances.

8.3 Pre-Existing Conditions and Eating Disorders: If you have any pre-existing health conditions—including but not limited to pregnancy, diabetes, or a history of clinical eating disorders—you are strongly advised and legally required by these terms to obtain written clearance from a qualified healthcare professional before participating.

8.4 Assumption of Risk: Walking is the only recommended exercise. You are solely responsible for assessing your own health. Any participation is entirely at your own risk, and you assume all responsibility for any injury, illness, or adverse outcome.

9. Recipes, Meal Prep, and Food Safety Disclaimer

The recipes and nutritional frameworks provided are intended for general informational purposes. You are solely responsible for reviewing ingredients for allergies or intolerances. 23 Tasks is not liable for any adverse reactions, foodborne illnesses, or injuries arising from food preparation or consumption.

10. Intellectual Property and Non-Compete

10.1 Proprietary Content: You acknowledge that this Website and Program contain Content protected by copyrights, trademarks, and other proprietary rights. 23 Tasks owns a copyright in the selection, coordination, and enhancement of such Content.

10.2 Restrictions on Use: Materials are for personal, non-commercial use only. You strictly agree not to copy, modify, reverse-engineer, or adapt our proprietary "Logic & Limbic" methodology, coaching frameworks, or tasks to train your own clients, build a competing coaching business, or exploit the Content in any commercial capacity.

11. Client Accounts and Platform Access

You are entirely responsible for maintaining the confidentiality of your password and account. You agree to notify us immediately of any unauthorized use. Registering for more than one account or sharing login credentials with any other person is strictly prohibited and will result in immediate termination of access without refund.

12. Privacy, GDPR, and Media Release

12.1 Data Processing: We process your personal data in accordance with our Privacy Policy and Irish/EU GDPR legislation. Data is processed solely for the delivery of the service.

12.2 Mutual Confidentiality: We agree to keep your personal data and private WhatsApp communications strictly confidential. In return, you agree to keep our proprietary business practices and program materials confidential.

12.3 Success Share: By sharing wins or progress photos, you grant 23 Tasks a perpetual right to use anonymized versions (names and faces blurred) for marketing and promotional purposes.

13. Client Conduct, Boundaries, and Non-Disparagement

13.1 Conduct: The relationship between coach and client requires mutual respect. Harassment, abuse, or inappropriate behavior directed toward any 23 Tasks coach or staff member will result in immediate termination without refund.

13.2 Non-Disparagement: You agree to attempt to resolve any grievances privately with our team. While this does not restrict your right to provide honest, good-faith, and lawful feedback regarding your experience, you agree not to publish false, defamatory, or libelous statements regarding 23 Tasks.

14. Feedback, Worksheets, and Program Submissions

Personal worksheets and reflections submitted directly to your coach are considered confidential. General feedback or ideas for program improvements may be used by 23 Tasks without compensation to you.

15. Third-Party Links, Apps, and Services

23 Tasks is not responsible for the availability, security, or privacy practices of external sites or recommended third-party tools (e.g., MyFitnessPal) or financing providers (e.g., Klarna/Stripe). Any dealings with these third parties are strictly between you and that third party.

16. Legal Relationship of Parties

23 Tasks is an independent business. Nothing in these Terms & Conditions shall be construed as creating any partnership, joint venture, agency, employer-employee, doctor-patient, or therapist-client relationship.

17. Disclaimers of Warranties

THE WEBSITE, PROGRAM, AND WHATSAPP SUPPORT ARE PROVIDED "AS IS" AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES TO THE FULLEST EXTENT PERMITTED BY LAW. NO ADVICE OR INFORMATION OBTAINED FROM OUR PERSONNEL SHALL CREATE ANY WARRANTY NOT EXPRESSLY PROVIDED FOR HEREIN.

18. Limitation of Liability

SAVE FOR PERSONAL INJURY OR DEATH CAUSED BY DIRECT NEGLIGENCE, FRAUD, OR GROSS NEGLIGENCE, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THIS AGREEMENT IS STRICTLY LIMITED TO THE EXACT FINANCIAL AMOUNT PAID BY YOU FOR THE PROGRAM. IF YOU ARE DISSATISFIED, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USE AND SEEK A REFUND VIA THE ACTION-BASED GUARANTEE.

19. Indemnification

You agree to indemnify and hold harmless 23 Tasks and its representatives from any and all third-party claims, liabilities, damages, and costs (including reasonable legal fees) arising from your improper use of the Program or violation of these Terms.

20. Governing Law, Dispute Resolution, and Arbitration

20.1 Governing Law: These Terms are governed by and construed in accordance with the laws of Ireland.

20.2 Dispute Process: You agree to first attempt an informal resolution by contacting info@23tasks.com.

20.3 Voluntary Arbitration: If informal resolution fails, disputes may be submitted to binding arbitration in Dublin, Ireland, provided that both parties agree to arbitration in writing after the dispute has arisen.

20.4 Court Jurisdiction: Nothing in these Terms limits your statutory rights to bring proceedings in the courts of Ireland. You agree the Irish courts have non-exclusive jurisdiction over any disputes.

21. Personal Liability, Insurance, and Results

21.1 Sole Trader: You acknowledge that 23 Tasks is operated as a Sole Trader business. You are encouraged to maintain your own insurance as the Terms provide contractual limitations but do not constitute a corporate liability shield.

21.2 No Health Guarantee: You are purchasing a coaching program, not a medical result. Your success depends entirely on your individual effort and adherence to the Program.

22. Force Majeure

23 Tasks shall not be liable for any failure or delay in performing its obligations due to circumstances beyond its reasonable control, including but not limited to global internet or WhatsApp outages, platform failures, personal illness of the coach, or natural disasters. Program durations will be extended to cover any lost time.

23. Statutory Rights and Miscellaneous

Nothing in these Terms is intended to exclude or modify any non-excludable statutory rights you have under the Irish Sale of Goods and Supply of Services Act or EU Consumer Regulations. If any provision is found unenforceable, it shall be deemed severable and shall not affect the validity of the remaining provisions.
